Cemzlah Terms of Service

1. Acceptance of Terms

By accessing and using Cemzlah's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Product-specific terms also apply. Some Cemzlah products have additional terms governing their specific billing, usage, and refund policies — they layer on top of this general Terms of Service. By using a Cemzlah product, you agree to both this document and the product's specific terms. The product-specific terms control where they conflict with this document. 2. Services

Cemzlah LLC provides website design, development, and maintenance services. Our services include:

  • Custom website design and development
  • Website hosting and maintenance
  • Content updates and management
  • SEO optimization
  • Technical support

3. Orders and Payments

  • All orders are subject to acceptance by Cemzlah. We reserve the right to decline any order.
  • Payments are processed securely through a PCI-compliant payment processor. All prices are in USD unless otherwise stated.
  • Regional pricing: To help you gauge cost, we may show prices converted to your local currency based on your approximate location. These localized figures are for convenience only and are not binding; unless a checkout page explicitly states otherwise, the amount you are charged is the USD price for the plan.
  • One-time project fees are due at the time of ordering. Subscription fees are billed on a recurring basis.

4. Project Timeline

We strive to deliver projects within the estimated timeline (typically 3 days). Delays may occur due to:

  • Scope changes requested by the customer
  • Delayed feedback or content from the customer
  • Unforeseen technical challenges

5. Customer Responsibilities

As a customer, you agree to:

  • Provide accurate business information
  • Respond to requests for feedback in a timely manner
  • Ensure that all content you provide is lawful and does not infringe on third-party rights
  • Pay all fees in accordance with the agreed terms

6. Intellectual Property

Upon full payment, you own the custom website design and content created for your project. Cemzlah retains the right to showcase the work in our portfolio unless otherwise agreed.

7. Maintenance Subscriptions

  • Subscriptions renew automatically at the end of each billing period.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
  • No refunds are provided for partial billing periods.

7.1 “Unlimited Edits” — Scope and Fair Use

Where a plan or package advertises “unlimited edits,” this refers to minor content changes only to your existing website. Minor edits include, for example:

  • Text updates (copy, wording, and content corrections)
  • Image swaps (replacing existing images with new ones)
  • Color adjustments
  • Small layout tweaks within an existing page

Restaurant clients — menu updates. For restaurant clients, menu updates are covered under unlimited edits subject to a fair use limit of up to five (5) product/item changes per day — including adding, removing, or updating menu items, prices, or descriptions. Requests that exceed five (5) menu item changes in a single day will be billed additionally at a rate quoted to you at the time of the request.

What unlimited edits does NOT include. Unlimited edits expressly excludes, and the following will be scoped and quoted separately:

  • Full website redesigns
  • New page builds
  • Structural changes
  • New feature development
  • Any change that would constitute a new project scope

Any request that falls outside of minor edits as described above will be treated as a separate project and will be scoped and quoted separately before any work begins.

8. SMS / Text Messaging

If you add a phone number to your Cemzlah account and check the SMS opt-in box, you consent to receive SMS messages from Cemzlah about your bookings, account updates, and promotional offers. If you also enable SMS-based two-factor authentication in your security settings, you will additionally receive one-time security codes; those are transactional and are sent regardless of marketing opt-out.

  • Message frequency: varies based on account activity. Most users receive fewer than 5 messages per month. Transactional messages (verification codes, security alerts) are sent on demand.
  • Message and data rates may apply. Your mobile carrier may charge you for incoming SMS based on your plan. Cemzlah does not charge a fee to receive these messages.
  • Opt out: reply STOP to any Cemzlah SMS to stop all non-transactional messages. You will receive one confirmation and then no further marketing or notification SMS.
  • Help: reply HELP for support, or email hello@cemzlah.com.
  • Removing your number: you can remove your phone number at any time from your account profile. Removing your number disables any SMS-based services tied to it, including SMS-based two-factor authentication.
  • No third-party sharing: Cemzlah will never sell, rent, or share your phone number or SMS opt-in data with third parties for their own marketing. Phone numbers are passed only to our SMS delivery provider (Twilio) for the technical purpose of delivering the messages you opted in to receive.

9. Account Deletion

You may delete your Cemzlah account at any time, free of charge. Because your Cemzlah account is the single sign-on identity shared across every app and product we publish under our developer account — shown on store listings as Cemzlah, CEMZLAH, Cemzlah LLC, or CEMZLAH LLC, all the same entity (Cemzlah LLC) — deleting it ends your access to all of them. Deletion takes effect after a 30-day grace period, during which you can cancel and reactivate your account; after that period it is permanent and irreversible.

10. Limitation of Liability

Cemzlah LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid by you for the specific service in question.

11. Termination

Either party may terminate the service relationship with written notice. Upon termination, you are responsible for any outstanding fees.

12. Governing Law

These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

13. Dispute Resolution

Informal resolution first. If you have a dispute or concern about our services or these Terms, please contact us at hello@cemzlah.com before filing any formal claim. We will work with you in good faith to resolve the matter, and most issues can be settled this way. Please give us at least 30 days from the date you notify us to reach a resolution.

Venue and jurisdiction. If we are unable to resolve a dispute informally, you and Cemzlah agree that any claim arising out of or relating to these Terms or our services will be brought exclusively in the state or federal courts located in the State of Wyoming, United States, and you and Cemzlah each consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

14. Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

15. Changes to These Terms

We may update these Terms of Service from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where required by law, notify you by email or through the service. Your continued use of Cemzlah after an update takes effect constitutes acceptance of the revised terms. If you do not agree to the changes, you should stop using the services and may delete your account.
